Welcome to shopbola.com (the “Site”), operated by XPC LLC (“Bola,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Site and any purchases you make through it.

By accessing the Site, subscribing to emails, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

2) Eligibility

You must be at least the age of majority in your place of residence to make a purchase on the Site. By using the Site, you represent that you meet this requirement.

3) Changes to These Terms

We may update these Terms from time to time. The “Effective Date” above indicates when the latest version went into effect. Your continued use of the Site after changes means you accept the updated Terms.

4) Privacy + Email Marketing

Your use of the Site is also subject to our Privacy Policy (if/when posted).

Email subscriptions

If you submit your email (for newsletters, drops, back-in-stock alerts, etc.), you consent to receive marketing and transactional emails from us. You can unsubscribe at any time using the link in our emails. Transactional emails (order confirmations, shipping updates, account notices) may still be sent when necessary.

5) Accounts (If Applicable)

If the Site allows account creation:

• You are responsible for maintaining the confidentiality of your login information.

• You agree that the information you provide is accurate and up to date.

• You are responsible for activity that occurs under your account.

We may suspend or terminate accounts that violate these Terms.

6) Product Information, Pricing, and Availability

We try to display product descriptions, images, colors, and specs as accurately as possible. However, screens can display colors differently, and we do not guarantee exact accuracy.

• Prices are shown in USD unless stated otherwise and may change at any time.

• Availability can change without notice. We may limit quantities or cancel orders if inventory is unavailable or for other reasons described below.

7) Orders, Acceptance, and Cancellation

When you place an order, you’re making an offer to buy. We may accept or decline your order for any reason, including suspected fraud or unauthorized activity, inaccurate pricing or product information, inventory issues, or shipping restrictions.

An order is not considered accepted until we confirm it via email and/or ship it.

We may cancel an order after it’s placed; if we do, we will refund the amount paid for the canceled items (and shipping, if applicable).

8) Payment

We accept payments through third-party payment processors (the “Payment Processor”). By providing payment information, you represent that you are authorized to use the payment method.

If your payment is declined, your order may be canceled. We are not responsible for fees your bank or card issuer may charge.

9) Taxes

Sales tax (or other applicable taxes) may be added at checkout based on your shipping address and applicable law.

10) Shipping, Delivery, and Risk of Loss

Delivery times are estimates only and not guaranteed. Once an order is handed to the carrier, delays may occur outside our control.

To the extent permitted by law, risk of loss and title pass to you upon our delivery of the order to the carrier. If packages are marked delivered but not received, you may need to work with the carrier and/or your local authorities to investigate.

11) Returns, Refunds, and Exchanges

12) Promotions and Gift Cards

Promotions and discount codes may have additional terms and may be changed or ended at any time. Discount codes typically cannot be combined unless stated.

Gift cards (if offered):

• are not redeemable for cash except where required by law

• may not be replaced if lost or stolen, unless required by law

13) User Content and Reviews

If you submit reviews, comments, photos, or other content (“User Content”):

• You represent you own or have rights to submit it.

• You grant Bola a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display it for marketing and business purposes.

We may remove User Content that violates these Terms or is inappropriate.

14) Intellectual Property

The Site and its content (including text, graphics, logos, images, and software) are owned by Bola or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or exploit any Site content without our written permission, except as allowed by law.

15) Prohibited Uses

You agree not to:

• violate any law or regulation

• attempt to gain unauthorized access to the Site or systems

• use bots, scrapers, or automated access without permission

• introduce malware or harmful code

• interfere with Site security or operation

• engage in fraudulent transactions or chargeback abuse

16) Third-Party Links and Services

The Site may link to third-party sites or use third-party services (including payment processors, shipping carriers, analytics tools). We don’t control them and aren’t responsible for their content or practices. Your use of third-party services may be subject to their terms.

To the fullest extent permitted by law, Bola will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Site or any products.

To the fullest extent permitted by law, Bola’s total liability for any claim will not exceed the amount you paid to us for the product(s) giving rise to the claim.

19) Indemnification

You agree to indemnify and hold harmless Bola and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys’ fees) arising out of your use of the Site, violation of these Terms, or violation of any rights of another.

20) Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

21) Termination

We may suspend or terminate your access to the Site at any time if we believe you violated these Terms or if necessary to protect the Site or other users.

22) Severability

If any provision of these Terms is found unlawful or unenforceable, the remaining provisions remain in effect.

23) Entire Agreement

These Terms (and any policies referenced, such as a Return Policy and Privacy Policy if posted) are the entire agreement between you and Bola regarding the Site and purchases.
